Well, usually copyrighted material has.. ...er copyright on his content for some decades after the author's death. In this case Tolkien Enterprises holds © over Lotr and Hobbit, while the professor's family holds the rights for the rest of his works. I don't know when these rights will be set free, but i'm pretty sure someone could argue that a free product involving Arda might be of damage to a potential commercial one...

I care little for the rights held by TE&TE - they have always profitted, in one way or another, from everything that has ME in it. They have always claimed they want to protect Tolkien's works, his legacy, and watch over those who have rights to use Tolkien's works to make sure they do it with the utmost respect.
However, TE&TE is just no better than the next company.
For years, they have bullied fans, got sites banned, threat everybody under the sun with ridiculous letters... they have hung over the fans' heads like Damocles' sword, while they have gladly carried on taking the money of those same fans without a second thought. They know they greatly profit from fanfiction, fanart, mods... etc and still, they frown upon it.
A company that doesn't mind selling the rights to, let's say, EA all in the name of money (where accuracy or respect for the original material are not a priority), imho does not keep its side of the deal and therefore I do not care anymore for what they think of this project.
I have respect for intellectual property, but not for greed.
